Law No. 10961 was published on 19 June 2026 and is scheduled to take effect three months after publication, on 19 September 2026. It requires covered VASPs to register with the General Superintendency of Financial Entities (SUGEF) for anti-money laundering, counter-terrorist financing and counter-proliferation financing (AML/CFT/CPF) supervision but expressly says registration is not an authorisation to operate. On the named SUGEF regulations and procedures pages reviewed on 9 September 2026, no final VASP-specific regulatory instrument, form, corporate annex list or filing channel was identified.
Step 1. Confirm the Filing Entity and Corporate Document Owners
Confirm the applicant and filing purpose against constitutive and registry sources. Do not use a trading name or group brand. An S.A., an S.R.L., a branch or a foreign parent can have different books and authorities.
Source: constitutive documents, registry evidence and group chart.
Owner: sponsor for purpose and approval, administrator for records, compliance for UBO data and controls, finance or tax owner for capital and tax facts, and any in-country provider for assigned evidence.
Check and output: confirm one legal person and produce an entity sheet with a responsibility map.

Step 2. Build a Corporate Master Data Sheet
Record identity, company type and status, office, purpose, key dates, capital, owners, directors or managers, representatives, powers, UBOs, RTBF position and books. For each field show the source, date, version, owner, confidentiality class and update trigger. Keep public data separate from restricted personal information.
Source and owner: all controlled records, maintained by the document controller.
Check and output: reconcile names, identifiers, dates, capital, percentages and authority in one master sheet and discrepancy log.
Blocker and trigger: stop on unsourced or conflicting data. Refresh when a source record or evidence owner changes.
Step 3. Collect Registry and Constitutive Records
Collect evidence of identity, formation terms, amendments and registered representation, such as a constitutive deed, registry certification or extract, legal-person ID and registered powers. Label what each item proves.
Formation and amendment documents record terms and changes. Registry evidence shows facts recorded at its issue date. Do not assume a universal “certificate of good standing” or validity period. Law No. 10961 sets no certificate age for a VASP filing.
Owner and output: the corporate administrator obtains an indexed set and legal review maps each item to a fact.

Step 4. Reconcile Social Books, Ownership and Capital
Use the books required for the company type. Registro Nacional guidance states that an S.A. legalises a general meeting minute book, a shareholders’ register and a board minute book. An S.R.L. legalises a members’ meeting minute book and a members’ register. These are corporate books, not accounting books.
Trace every issue, transfer and capital change through minutes, the ownership register, constitutive record and cap table. Record each mismatch, owner, status and closure evidence. Produce a reconciled ownership schedule and signed discrepancy log. An unlegalised book, broken transfer history or unmatched capital figure blocks handoff. Refresh after any ownership, capital or book change.
Step 5. Reconcile UBO Data, Group Structure and RTBF
Trace the filing entity through intermediate companies to the natural persons who own or control it. Record direct and indirect percentages and control rights.
The Registro de Transparencia y Beneficiarios Finales, or RTBF, is a separate transparency system. The Hacienda RTBF FAQ states that 100 percent of capital and all participants must be reported. The 15 percent figure has a different substantial-participation function. The FAQ also says that BCCR, Hacienda and ICD cannot issue an RTBF certification.
Compliance owns the reconciliation. Produce a UBO memo, dated group chart and RTBF record. An unidentified natural person or inconsistent percentage is a blocker. Refresh after an ownership, control, group or RTBF change.
Step 6. Verify Directors, Representatives, Powers and Signatories
Create an authority matrix covering appointments, representation, powers, delegations, limits and revocations. For each act, identify who can decide, sign and submit. Compare registry evidence, governing documents, minutes and notarial instruments.
List identity and background evidence by purpose. Separate sensitive annexes, restrict access and name a retention owner. The output is a verified authority pack. Expired, revoked, limited or contradictory authority blocks handoff. Refresh after any appointment, resignation, revocation, delegation or change of limits.
Step 7. Match Corporate Purpose, Activities and Contracts
Compare the corporate purpose and registered activities with the planned services. Map each exchange, transfer, custody, control or issuance-related function to the contracting entity, customer terms, technology role, asset and fiat flows, and intragroup agreement.
Law No. 10961 does not prescribe universal crypto or VASP wording for every company’s purpose. The purpose, contracts and operating model must be legally supportable and consistent. Company formation is not a VASP license or SUGEF approval. The COO or sponsor owns the model. Legal and compliance owners produce the crosswalk and gap list. An unsupported service or incorrect contract party is a blocker. Refresh after a product, market, contract or flow change.
Step 8. Prepare Corporate Approvals and Filing Authorities
Identify approvals needed for the entity type and filing route. They may involve shareholders, quotaholders, a board, managers, representatives or delegated signers. Confirm the competent body, notice, quorum, vote, signer and execution formalities.
The corporate administrator maintains an approval register showing the decision, source and version, date, signer, execution status and dependent filing. A generic board-resolution template is not universal evidence. The wrong corporate body, invalid quorum, missing signature or unverified filing authority blocks handoff. Refresh after a change in scope, decision-maker, signer or official instructions.
Step 9. Prepare Foreign Documents, Translations and Execution Formalities
List each foreign document by country, issuer, public or private status, language, recipient and purpose. Record requirements for copies, authentication, translation, notarisation, signature and issue period.
Costa Rica’s Ministry of Foreign Affairs guidance explains that a foreign public document intended to have legal effect in Costa Rica must be legalised or apostilled. It also says non-Spanish foreign documents require an official translator. This does not prove that every VASP attachment needs the same treatment.
The legal project lead owns a dated formality register. Missing authentication, unusable translation or an unconfirmed recipient rule is a blocker. Refresh when the document, recipient or rule changes.
Step 10. Run the Final Reconciliation and Version-Control Check
Compare the master sheet with every item. Check names, identifiers, dates, ownership, control, capital, powers, purpose, entity roles, contracts and approvals. Close mismatches or stop the handoff.
Name the canonical version, restrict editing and create a read-only snapshot. Index each item by owner, issuer, date, version, confidentiality, submission status, documented validity period and update trigger.
Produce a versioned pack and signed handoff record. A material discrepancy, obsolete power, missing approval or uncertain version is a blocker. Review it after changes to legal status, capital, ownership, UBO data, authority, purpose, group role, RTBF data, books or official rules.
The pack does not prove registration, operating permission or banking readiness. Reconcile the final form and formalities against it.
Frequently Asked Questions
Which corporate documents should a Costa Rica VASP prepare first?
Start with constitutive and registry records, required corporate books, ownership and capital evidence, a dated group chart, authority documents and material contracts. Build the master sheet at the same time so conflicts emerge during collection. This is a readiness pack, not SUGEF’s final checklist.
Do an S.A. and an S.R.L. need the same corporate books?
No. Registro Nacional lists three legalised corporate books for an S.A. and two for an S.R.L. Responsible officeholders also differ. Confirm the books and legalisation status before relying on them. Accounting records do not replace corporate books evidencing meetings, members and ownership changes.
Must the corporate purpose mention crypto or VASP activities?
