Is Your Money Service Model a Fit?

  • May fit: Currency exchange shops and cross-border remittance operators conducting business in Hong Kong.
  • May fall outside scope: Incidental currency exchange within another principal business. Statutory exemptions have specific conditions.
  • Needs assessment: Online delivery, outsourced settlement and combined fiat, crypto or wallet products. Customer location, control of funds and transaction flows matter.

The SFC identifies a separate platform licensing regime. C&ED also identifies the SVF framework under Cap. 584. A product called a “payment service” requires analysis of its actual functions.

What Activities Are Covered?

Money changing service: Exchanging currencies as a business.

Remittance service: Sending or receiving money across Hong Kong’s border, arranging those transfers, or arranging receipt abroad. The statutory scope explained by C&ED includes arrangements, not just direct transfers.

What Does the Application Cost?

Preliminary package quote: $35,000, with the currency and final scope confirmed in your proposal. Government fees are separate. Office rental, CO/MLRO personnel, banking and ongoing support should be budgeted separately unless expressly included in the agreed scope.

How does the process work?

  1. Assess: Gofaizen & Sherle reviews the model and identifies gaps.
  2. Prepare: Corporate, premises and compliance work can progress in parallel.
  3. File: Assemble the C&ED application forms and supporting evidence.
  4. Respond: Address C&ED questions, interview and inspection requirements. An eligible sole proprietor, partner or director completes the Competence Assessment.
  5. Establish operating readiness: Address license conditions and outstanding infrastructure needs following the authority’s decision.

What Information Starts the Assessment?

A useful starting pack includes:

  • Ownership chart, ultimate owner and key-person details.
  • Customer types, currencies, corridors and projected volumes.
  • Funds-flow diagram, counterparties and settlement arrangements.
  • Premises plans, funding evidence and existing AML materials.
  • Current regulatory status and intended launch date.

Personnel planning should account for the HKID evidence required for CO and MLRO in the C&ED application checklist. Providing these personnel is not an included package item unless separately agreed.

How Long Does Obtaining Approval Take?

These are commercial planning estimates, subject to readiness, scheduling and regulatory checks. They are not C&ED service standards or a guaranteed approval date. The current licensing guide gives no fixed overall processing period.

What Regulatory Framework Governs Operators?

Operating a money service requires authorization unless an exclusion or exemption applies. The Anti-Money Laundering and Counter-Terrorist Financing Ordinance, Cap. 615 establishes the framework. The Customs and Excise Department supervises operators, with applications handled through its Money Service Supervision Bureau.

What Continues After Licensing?

The AML/CFT guideline requires:

  • risk-based customer due diligence
  • monitoring
  • record keeping
  • suspicious transaction reporting
  • staff training.

Operators need effective anti-money laundering and counter-terrorist financing controls, supported by a compliance officer and money laundering reporting officer. Depending on the operator’s size, one person may perform both roles. Transaction records must generally be retained for at least five years after completion, and customer relationship records for at least five years after the relationship ends.

The licensing guide also requires periodic returns, relevant change approvals or notifications, and renewal applications at least 45 days before expiry.

What are the enforcement risks?

C&ED states that unlicensed operation can attract a HK$1 million fine and two years’ imprisonment. Loss of fitness and propriety can lead to suspension or revocation under its supplementary guideline.

How Should Banking Be Prepared?

A license does not guarantee a bank account or PSP acceptance. Prepare an explanation of ownership, source of funds and wealth, corridors, volumes, counterparties and controls. Banking preparation and post-authorization support can be agreed separately from the setup package. Each provider makes its own onboarding decision.

How Are Profits Taxed?

Tax planning should examine tax residence, source of profits and where operating activities occur. An MSO license is not a tax exemption. GovHK publishes corporate profits-tax rates of 16.5%, or 8.25% on the first HK$2 million and 16.5% above that for qualifying two-tier cases. Eligibility needs separate assessment.

Banking fit depends on the actual markets, counterparties and risk profile in every route. These permissions are not interchangeable.

New Application or Acquisition?

A ready-made Hong Kong MSO company requires checks of status, liabilities and compliance history. Buying shares does not automatically transfer a license. Proposed directors, partners and ultimate owners require prior approval under the Form 4 guidance.

Can the operation be online?

Yes, but an operation without particular premises still needs a local management office, correspondence address and local records storage under the application guidance. Gofaizen & Sherle has an official representative office in Hong Kong. Applicants must still meet the premises requirements for their own MSO operation. A service provider’s address cannot substitute for the required local management office.

Is the official fee the full budget?

No. Advisory and operating costs are separate.

Is approval available by a fixed date?

No fixed overall review period is published in the current guide.

When is renewal due?

Apply at least 45 days before expiry.

Does approval secure banking?

No. Banks conduct independent reviews.

Does MSO cover crypto or all payments?

No. It covers money changing and remittance. Other functions require separate assessment.
